We advise clients on federal, state and local tax and estate matters, and also provide estate administration services. Our work includes tax planning with respect to income, estate and gift taxes, as well as non-tax issues relating to estates, trusts, individuals and businesses. The group has extensive experience with transaction tax structuring and tax controversy work involving the Internal Revenue Service and state and local tax jurisdictions. It also has in-depth knowledge of tax exempt organizations.

David Pudlin, President, Tax and EstateWe regularly advise individuals in their financial and estate planning, and we frequently fill the role of "outside general counsel" for their business and personal matters. In this role, we assist clients in their business and personal needs, such as income, estate and gift tax issues, in order to help them protect and preserve their wealth. Among some of the planning tools we have used on behalf of our clients are family limited partnerships, charitable giving and private foundations, and qualified personal residence trusts. We serve clients with estates ranging from modest to extremely wealthy, using these tools to their advantage.

We provide a wide range of services to corporations, individuals, partnerships, limited liability companies, and charitable institutions. While we have provided services to public companies, we work primarily with closely held businesses. Our lawyers work regularly with the Firm's corporate, real estate, and bankruptcy attorneys on complex transactions. We are involved in many forms of transactions, including purchases, sales, mergers, and other forms of tax-free reorganizations, including bankruptcy. Our lawyers also work with the firm's litigation attorneys when tax, estate and fiduciary issues arise in the course of litigation.

Our Tax and Estate Practice is led by David B. Pudlin, who also serves as the Firm's President. In his over 31 years of practice, David has represented business owners (including extensive experience with legal and medical professionals) in all aspects of their businesses. His experience includes choice and formation of entities, contracts (including partnership, shareholder, LLC, hospital affiliation and employment agreements), transactional work (purchases, sales, reorganizations), separations and dissolutions. Mr. Pudlin has served as a member of the Governing Council of the Tax Section and as a member of the Executive Committee of the Probate Section of the Philadelphia Bar Association. He also is the former Chair of both the Large and Mid-Size Law Firm Management Committees of the Philadelphia Bar Association.
